Goldman Sachs to Buy Real Estate Firm for Up to $410M

Goldman Sachs agrees to acquire commercial real estate investment manager LCN Capital Partners for up to $410 million, expanding its real estate capabilities and strengthening its asset and wealth management business.

Goldman Sachs has entered into an agreement to purchase LCN Capital Partners, an investor in commercial real estate investments, in a deal that will cost up to $410 million. This deal will add value to the real estate expertise of Goldman Sachs and will be in line with the strategy of expanding its asset management services. The deal is expected to be completed before 2026.

According to the terms of the deal, Goldman Sachs is expected to make payments of about $260 million at closing, and an additional $150 million, depending on future performance and services to be provided by LCN. 80% of the total payments are going to be made in the form of Goldman Sachs stock.

LCN Capital Partners deals in Sale & Lease Backs, Build to Suit and Triple Net Leases investments. LCN capital partners deal with corporate occupiers and assists in generating value from operationally important real estate, while still retaining control over the property through a long term lease agreement.

This deal gives Goldman Sachs a better position in the increasingly popular sale-leaseback and net-lease real estate markets. In a sale-leaseback structure, corporations sell their buildings to investors and lease the buildings back from the investors. Thus, corporations get money from their buildings while using the buildings for business purposes, and investors earn rental income over a long period of time, with some deals including provisions for protecting against inflation.

LCN has $3 billion of assets under management based on the reports about the deal. The company was established in 2011 by Edward V. LaPuma and Bryan York Colwell, who will be moving to the real estate division of Goldman Sachs Asset Management along with other employees of LCN after the deal.

David Solomon, chairman and CEO of Goldman Sachs, says that the LCN platform fits into the strengths that the company already possesses in private real estate and enhances its capabilities to serve insurance, institutional, and wealth management clients. The acquisition is thus consistent with Goldman Sachs’ ongoing strategy of building up its asset and wealth management operations.

The LCN transaction comes just on the heels of the agreement between Goldman Sachs and NEOS Investments to merge into one company at a valuation of up to $2.25 billion. The transactions illustrate the bank’s continued efforts to broaden its investment management capabilities and revenue sources.

Through the proposed acquisition, Goldman Sachs will be able to expand its strength within the commercial real estate investments business along with getting the specialized skills of LCN on net lease. It is anticipated that this deal will provide Goldman Sachs with additional options for real estate investments for its clients.
