
Welspun Investments approves a ₹1,285 crore infusion into Vishwakarma Realty through convertible debentures, while the subsidiary plans to invest up to ₹1,000 crore in promoter group firm Indivara Realty.
The Welspun Investments & Commercials decides to invest in their wholly-owned subsidiary called Vishwakarma Realty Private Limited (VRPL), in order to strengthen their foot in the real estate industry. The decision is taken by the board on September 3, 2026, with the help of Compulsory Convertible Debentures (CCD) and Optionally Convertible Debentures (OCD).
In the approved structure, Welspun Investments will subscribe to a maximum of 75 crore CCDs of a nominal value of ₹10 per share, thereby investing a sum of ₹750 crore. Further, it will subscribe to a maximum of 53.5 crore OCDs of ₹10 each, which means a total subscription of ₹535 crore. The total subscription of up to ₹1,285 crore is to be made through one or more tranches as may be decided by the board/committee.

The proposed infusion will have no impact on the ownership of Vishwakarma Realty by Welspun Investments, as it will continue to remain a wholly-owned subsidiary. The transaction shall be conducted on an arm's length basis and will be a cash investment.
Vishwakarma Realty is a rather new company that was incorporated on 11th December, 2025 and deals with real estate business. As on 31st March, 2026, it has not generated any turnover but the net worth of the company as on this date is ₹4.76 lakh. The operating history of the company being limited, this capitalization is very important for the company.
In addition to this, Vishwakarma Realty also gets permission to make investments worth ₹1,000 crore in Indivara Realty Private Limited which is a promoter group company of Welspun Investments. This investment has been made in the form of optionally convertible debentures worth 100 crore at ₹10 per debenture.
The investment proposal for Indivara Realty represents a related party transaction due to association with its promoter group. Therefore, the transaction must be approved by the shareholders if such approval is needed according to the rules. It is also being made on an arm’s length basis.

This is a follow up to the recent purchase by Welspun Investments of 100% stake in Vishwakarma Realty. This transaction is expected to be concluded on September 1, 2026, at a cost of ₹4.62 lakh through internal accruals.
The sequence of transactions places Vishwakarma Realty in a position to channelize the large sums of money required to be invested in the group’s real estate ventures. Through the ₹1,285 crore capital infusion and the ₹1,000 crore investment in Indivara Realty, Welspun Investments has increased its investments in the real estate businesses of its promoter group, maintaining full control of the newly-acquired subsidiary company.
